They won't let him sit there because they expect in the event of an emergency he'd be worrying about her (and maybe the dog) instead of paying full attention to his responsibilities.
To my knowledge, there is no FAR or NW restriction about under-seat baggage in the exit row.

To clarify, the exit row seats in question are also seats with no seats ahead, for example seats 16 A-C on a 757. So there is no underseat storage ahead of you and obviously cannot put the dog overhead.
