Aimia vows to fight Air Canada's court move to halt upcoming merger

Update on AC & Amia Inc

TORONTO -- Aimia Inc. says it plans to defend itself against a move by Air Canada in Quebec Superior Court to halt a merger that the smaller company sees as key to its corporate reinvention.

The former owner of Aeroplan -- a rewards program that Aimia sold to Air Canada last year -- says Air Canada has filed an application for an injunction against Aimia's proposed merger of its money-losing loyalty points business with Kognitiv Corp.

Aimia says Air Canada's court filings allege that the transaction will result in breaches of non-competition and confidentiality provisions that Aimia agreed to when it announced the $720-million Aeroplan sale in November 2018.

You'd think AC has better things to do with its scarce resources than launch this kind of suit.

True, but AC also views Aeroplan (whether old or relaunched version) as being key to its future plans. If Aimia is actually violating the terms of the purchase agreement, is AC supposed to just roll over, or protect its $720 million investment? If the agreement didn't contain a non-compete clause, I assume the purchase price would have been far less.

True, assuming that Aimia is violating the terms of the agreement in a substantive way that is likely to harm AC.

We're not privy to the agreement between AC and Aimia, but it seems hard (at least for me) to see where Aimia's plans impinge in a meaningful way on AC's enjoyment of their Aeroplan acquisition. As always in legal agreements, the devil is in the details.

Guess we'll find out in 3-5 years.

I am wondering if this means Aimia retains access to and rights to the past Aeroplan transaction data. That would be extremely valuable information.

Well, non-competition is mentioned in AC court filings per the article and Kognitiv is at least marketing its Loyalty Capital Network as an alternative airline loyalty program, so maybe that is where the substance of the claim is.

Aimia closes Kognitiv deal after court dismisses Air Canada suit

MONTREAL -- Aimia Inc. says it has closed a transaction with Kognitiv Corp. after the Quebec Superior Court dismissed an application from Air Canada to halt the merger.

The airline had argued that the transaction would breach non-competition and confidentiality provisions included in Aimia's $516-million sale of loyalty program Aeroplan to Air Canada in November 2018.
