It wouldn't surprise me if the fireworks get cancelled...
The upgrade is defined as best available room, including select suites.
Though for NYE, with a view of the bridge, I might tend to agree with the hotel that it is not a free upgrade. Unless the check in is rather late on the 31st when it is clear they will not sell it.
