Got an experienced retention agent.

- 60 day grace period from billing date of annual fee for full refund of annual fee if cancelled.
- After some talking he found an offer: Spend $1K in 90 days get 5K miles bonus offer.(I accepted)
- No annual fee waver this year however. So the "price" of the 5K miles bonus is essentially "$89"

He was so nice that I decided not to cancel the card on that call but I will call back and officially cancel it later - the offer is simply not good enough even with annual 10K miles rebate.

PS. They keep pretty good records of all the offers and retention offers ever given for the life of the account - he was reading it off from the screen.
