I don't know about the second seat if you get upgraded. But I can't imagine a long flight with a 2 year old on my lap, in coach or first class. My recommendation: get an AS Visa card and use your companion certificate to buy a seat for your daughter for $99 plus tax. You'll both be happier.
I do know that it's usually not possible for two MVPs on one reservation to get upgraded.
