With respect to bmi Regional and bmibaby, both businesses have attracted interest from potential buyers and discussions continue. For both airlines, the sales efforts will continue and the summer schedule will operate as currently planned. If the airlines become part of the IAG transaction there are no plans to integrate them into BA.

REGULATORY APPROVAL FOR BMI DEAL
The European Commission (EC) has today given regulatory approval for International Airlines Group's purchase of bmi from Lufthansa.

Some technical conditions need to be finalised before completion, which is anticipated to take place around April 20, 2012. Following completion, it is intended that bmi mainline will be integrated into British Airways during the coming months.

IAG has offered the following commitments to the EC as part of the regulatory process:
· Seven daily slot pairs to be used between Heathrow and either Edinburgh and/or Aberdeen.
· Five daily slot pairs to be used between Heathrow and the following destinations - Nice, Cairo, Riyadh, Moscow, Edinburgh and/or Aberdeen.
· Two Heathrow daily slot pairs will be leased to Transaero for use on flights to Moscow.
· Other airlines can apply for seats on the integrated BA/bmi short and midhaul network for their transfer passengers, on normal commercial terms.

IAG chief executive Willie Walsh said: "We're delighted the EC has given competition approval for our acquisition of bmi. Their decision follows a thorough review during which the views of key stakeholders have been taken into account.

"This is great news for Britain. Over time we will launch new longhaul routes to key trading nations that are currently not served from Heathrow while supporting our shorthaul network. This is good for UK business and UK consumers. We have already announced that British Airways will re-start flights from Belfast to Heathrow, maintaining important economic links.

"Expanding our longhaul network also helps Heathrow grow as an international hub airport despite its infrastructure constraints.
"This deal will maintain high quality jobs at bmi and create similar jobs when we expand. More British jobs will be saved than if bmi had closed. British Airways will consult with bmi staff and their unions as soon as possible.

"We plan to operate bmi's summer schedule and will update their customers once the transaction has been completed".
The acquisition cost of bmi is unchanged at Ł172.5m in cash, on a debt-free, cash-free basis, but is subject to significant price reductions if Lufthansa does not opt to sell bmi baby.

IAG's Heathrow slot portfolio, excluding the commitments made to the EC, will increase by at least an average of 42 daily slot pairs. The transaction is still expected to be earnings accretive by 2014 at the latest. The commitments do not affect IAG's plans to increase its 2015 operating profit target of €1.5 billion by €100 million and its target of delivering a 12 per cent return on capital employed. IAG estimates that restructuring costs related to the integration of bmi will be around Ł100 million spread over three years with the majority in year one.

IAG plans to hold an investor update after completion of the deal, at which it will give more detail on the bmi integration plan.

Following EU Competition clearance on Friday 30th March, I wanted to give you a further update about the next steps of the BA/bmi integration process.

Yesterday, we welcomed the BA integration team to Donington Hall for a meeting with bmi mainline’s extended management team. We will work together with BA as one team to manage the integration process. Until completion, which is expected around 20th April, the current bmi management set-up remains and any changes upon completion will be communicated in due course.

For our business to be viable a swift integration is vital. Integration timelines will differ by department and this will depend on specific requirements and will be undertaken in line with legal obligations. As we will lose the commercial support of the Lufthansa Group and Star Alliance from the date of completion, it is necessary for us to start consultation within the commercial area today. The following key areas will be consulted with: Sales, Marketing, Network and Revenue Management.

Once the proposals for other departments have been confirmed, we will discuss these with the relevant representatives and management as early as possible. We hope that this can take place shortly after the Easter break.

We will continue to keep you updated.

Lufthansa notice

The current "owner" has released this:

Miles & More ends its cooperation with bmi
11.04.2012

With effect from 19 April 2012, Miles & More’s cooperation with bmi will end by mutual agreement. This is the result of the sale of bmi to IAG and the consequent withdrawal of bmi from the Lufthansa Group.

As of that date earning miles on bmi flights will unfortunately no longer be possible. Until then the current terms shall apply.

Miles & More flight awards issued prior to this date can be used as planned on bmi flights.

Status-related benefits on bmi flights can still be used until 31 May 2012.

If you have any additional questions, please contact your Miles & More Service Center.

11 April update

Dear Members

We'd like to advise you of some forthcoming changes to the bmi Diamond Club programme.

From 19 April 2012, the ability for Diamond Club members to earn Status and Destinations miles and to redeem miles will cease on the Lufthansa Group airlines (Lufthansa, Swiss, Austrian Airlines, and Brussels Airlines).

Any redemption tickets issued prior to this date for travel will be honoured.

All Star Alliance status benefits will remain unaffected by this change.

We are working with British Airways to offer Diamond Club customers the ability to earn and redeem miles on British Airways and its oneworld partners following completion of the sale. We will do everything we can to communicate more detail as soon as possible.

Regards

When is the official date when bmi will leave Star Alliance?

Following last week’s approval by the EU Competition Authority, bmi’s current owner, Lufthansa, is now progressing with the necessary steps in order to complete the sale to International Airline Group (IAG).

It is the intention that bmi will begin to withdraw from Star Alliance at the date of completion of the sale, which we expect to be around 20 April, 2012.

bmi, Lufthansa and Star Alliance will be working together during the coming weeks to ensure bmi’s smooth exit from Star Alliance. We will update you as soon as more information becomes available.

Can I still continue to earn Diamond Club status and destinations miles on bmi?

Yes, we will operate our summer schedule as normal and you can still earn and redeem during this period.
What if I have already made a redemption booking for travel on another Star Alliance airline. Will this booking be honoured?

Existing Diamond Club redemption bookings are unaffected by the sale of bmi to IAG, which we expect to be completed around 20 April.
After completion will I still be able to use my benefits on other Star Alliance carriers?

bmi is working with Star Alliance member carriers to ensure that once bmi begins to withdraw from Star Alliance there are opportunities for Diamond Club members to continue to receive certain benefits on the Star Alliance network for an agreed period of time. We will update you as soon as more information becomes available.

Bmi announcement

On the website (logged in):
Dear Diamond Club member,

I’m writing to advise you of some important changes to the Diamond Club programme following the sale of bmi to IAG, the owner of British Airways, on 20 April 2012.

As a result, there are some key changes to your Diamond Club membership, which I would like to outline below, which also includes an invitation from British Airways.

- Announcement of bmi’s exit from Star Alliance
- A new partnership with British Airways
- Business as usual for Diamond Club

bmi’s exit from Star Alliance

I’d firstly like to advise that from 20 April bmi will no longer be a member of Star Alliance.

However, you will still be able to enjoy the following Star Alliance benefits associated with your membership tier level until 31 May 2012.

You will continue to earn membership status miles and earn and spend destinations miles on bmi and Star Alliance carriers (excluding Lufthansa Group airlines) until 31 May 2012
For all Star Alliance carriers you will also be able to take advantage of your bmi and Star Alliance status benefits, including lounge access, priority check-in and priority boarding until 31 May 2012
From 1 June 2012 any benefits associated with your tier membership and the ability to earn status miles and earn and spend destinations miles on Star Alliance airlines will end
Star Alliance award bookings made before 31 May 2012 will be honoured

For further information including changes to award bookings, retrospective claims and award flight bookings please click here

A new partnership with British Airways

We’re pleased to announce that Diamond Club members will benefit from a new partnership with British Airways from 20 April 2012.

All members will be able to earn destinations miles on BA, for flights taken from 20 April 2012, and we will shortly introduce the option to spend your destinations miles on BA award flights
From today, Diamond Club Gold and Silver members will be able to access the British Airways lounges at London Heathrow and London Gatwick, when flying with bmi or British Airways - please present your Diamond Club Gold or Silver card on arrival to gain access

As part of the transition of bmi into British Airways, from 1 May 2012 British Airways is inviting you, as a Diamond Club member, to also join the Executive Club at your equivalent tier status level.

Diamond Club Gold customers will be invited to become Gold members of the Executive Club and Silver members to become Silver, which will be in addition to your Diamond Club membership.

Further details will follow shortly.

You will also be able to transfer your destinations miles to Executive Club Avios points at a rate of 1:1. British Airways will also be offering Executive Club customers the ability to transfer from Executive Club Avios points into destinations miles at a rate of 1:1. For example 100 destinations miles could be transferred into 100 Avios points and vice versa.

We are creating an online tool that will allow Diamond Club and Executive Club customers to undertake transfers, which will be available from 3 July 2012. We will contact you nearer that date to explain how the tool will work and how to access it.

Business as usual for Diamond Club

Although today we are announcing a number of changes to the programme, we would like to assure you that it is business as usual for Diamond Club, including members who have a bmi Credit Card Account with MBNA.

We very much appreciate your loyalty to bmi and hope that you continue to enjoy the benefits of Diamond Club membership.

We look forward to welcoming you onboard again soon.

From 1 June 2012 any retrospective claims made by Diamond Club members, for flights flown up to 31 May 2012 on Star Alliance member carriers but not credited to Diamond Club member accounts, will be accepted by bmi up to and including 31 October 2012.

Any retrospective Star Alliance claims made by Diamond Club members after 31 October will not be credited to Diamond Club members’ accounts.

Award Flights

When is the last date that I can make an award flight booking for a Star Alliance member flight?

If you need to make a change to an award flight booking after 31 May 2012 the booking would need to be cancelled because no changes can be made after this date.

Lufthansa Group Airlines

As communicated to Diamond Club members on 11 April 2012, the earn and spend agreement with the Lufthansa Group ended on 19 April 2012. This included Lufthansa, Swiss, Austrian Airlines, and Brussels Airlines. This means that Diamond Club members are no longer able to earn destinations and status miles and are also no longer able to spend destinations miles on these airlines.

All other Star Alliance benefits associated with membership tier level (such as lounge access) will still apply on flights with Lufthansa, Swiss, Austrian Airlines, and Brussels Airlines until 31 May 2012.

Can I change my award flight booking on Lufthansa, Swiss, Austrian Airlines, and Brussels Airlines?

Award bookings changes are no longer allowed on these 4 airlines. If a change needs to be made, alternative award flight options can be discussed with bmi reservations, by reviewing alternative available award flights on other Star Alliance airlines, subject to availability. Alternative Star Alliance award flight options can be booked subject to availability until 31 May 2012.

If there is no suitable alternative award flight available, the award flight booked for travel on Lufthansa, Swiss, Austrian Airlines, and Brussels Airlines may be cancelled.

Can I transfer my miles to another Star Alliance frequent flyer programme?

The Diamond Club programme will remain in operation after the sale of bmi to British Airways and therefore, as usual, there is no option to transfer miles to another Star Alliance frequent flyer programme.
